Terms

The shape of the agreement between you and Haivian Technology. Draft, and deliberately readable.

Draft, pending legal review

This document is a working draft published for transparency while Haivian Technology prepares for launch. It has not yet been reviewed by qualified counsel and is not a contract. Items still awaiting a decision are marked as open below. Online purchasing stays closed until these are settled and approved.

What you are licensed

A subscription licenses the Haivian Technology software, its governance model and the support attached to your plan, for the term you paid for. It does not transfer ownership of the software and it does not grant rights to its underlying methods.

What is not included

The subscription licenses Haivian Technology software, governance and support. It does not silently absorb inference, cloud, quantum provider, storage or third party service costs.

Model, cloud, quantum provider and storage charges are incurred under your own accounts, at your providers' prices, and are your responsibility.

What the software does not promise

Haivian Technology governs how AI work is bounded, recorded and reviewed. It does not guarantee that any output is correct, and no part of it should be read as removing your responsibility for decisions you make with it.

Independent review reduces the chance that a flawed result passes unchallenged. It does not reduce it to zero.

Acceptable use

The software may not be used to build systems whose purpose is unlawful, nor to attempt to extract, reconstruct or reverse engineer the proprietary mechanisms behind Council, Factory or Qonduit.

Term, renewal and termination

Annual plans run for twelve months from the start date.

Open item. Renewal behaviour, notice period and end-of-term treatment of evidence archives are not yet decided.

Governing law

Haivian Technology is operated by Qonduit Limited, New Zealand.

Open item. Governing law and dispute resolution forum are not yet confirmed.
